Terms of Service
Effective June 9, 2026 · The agreement between you and GoGeno LLC d/b/a RaceAlly. Written in plain English on purpose — read it; it covers what you own, what we do, and what neither of us is signing up for.
This document is a working draft prepared for the RaceAlly private beta and is pending review by licensed counsel.
1. Agreement to These Terms
RaceAlly is operated by GoGeno LLC, an Arizona limited liability company doing business as RaceAlly (“RaceAlly,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) are a binding agreement between you and GoGeno LLC governing your access to and use of the RaceAlly websites, applications, and services (together, the “Platform”). By creating an account, joining the waitlist, or using the Platform in any way, you accept these Terms.
Our Privacy Policy, Youth Racer & Guardian Policy, DMCA Policy, and Community Guidelines are incorporated into these Terms by reference. If you do not agree to all of them, do not use the Platform.
2. Eligibility and Age Requirements
You must be at least 18 years old and able to form a binding contract to hold a RaceAlly account. A racer who is 13 to 17 years old may use an account only if a parent or legal guardian completes verifiable acceptance of these Terms on the teen’s behalf, co-signs this agreement, and agrees to be bound by it and to be responsible for the teen’s use of the Platform.
Children under 13 may never hold a RaceAlly account, log in, or submit information to us directly — no exceptions. A young racer’s presence on RaceAlly is possible only through a guardian-managed profile, in which the parent or legal guardian is the sole account holder and the only source of information. 3. Private Beta
The Platform is currently offered as a private beta. Access is granted at our discretion and may be paused or revoked at any time. Features may change, break, or be removed without notice, and we provide no service-level commitment, uptime guarantee, or warranty during the beta. Founder pricing offered during the beta will be honored on the terms stated on our pricing page at the time you accept it.
4. Accounts and Security
You agree to provide accurate, current information when you register and to keep it updated. Each person may hold one account; registering on someone else’s behalf, sharing credentials, or maintaining duplicate accounts is prohibited. You are responsible for all activity under your account and for keeping your credentials secure. Notify us at Chase@FarrisFactory.com immediately if you believe your account has been compromised.
5. Your Content and Your Name, Image, and Likeness
You own everything you post to RaceAlly — photos, video, race results, media kits, written updates, and all other content. We claim no ownership of it, ever.
So that the Platform can function, you grant RaceAlly a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and promote your content and your name, image, and likeness within the Platform and in promotion of your own profile (for example, featuring your driver page in Platform marketing or surfacing it to potential sponsors). This license does not permit us to sell your content to third parties or use your likeness to endorse unrelated products.
The license ends when you delete your content or your account, except that copies may persist for a limited period in routine backups and caches, and we may retain copies where required by law or needed to resolve disputes.
6. RaceAlly Is a Venue, Not a Party
RaceAlly is a technology platform and a venue where racers, teams, fans, and sponsors find each other. We are not a party to, agent for, broker of, or guarantor of any sponsorship arrangement, contribution, or other dealing between users. When you enter a sponsorship or any other arrangement through the Platform, you deal directly with the other party.
We make no representation or warranty about any user, racer, team, sponsor, brand, or outcome — including identity, qualifications, performance, audience figures, creditworthiness, or whether any deliverable will be completed or any deal renewed. You are responsible for your own due diligence before entering any arrangement.
7. RaceAlly Is Not an Event Organizer
RaceAlly does not organize, sanction, promote, supervise, insure, or operate racing events, and nothing on the Platform — including schedules, track listings, results, or sponsor activations — is a representation about the safety or conduct of any event. Motorsports are inherently dangerous. Participation in racing is governed by the rules, waivers, and safety requirements of the tracks and sanctioning bodies involved, not by these Terms, and all risk of participation rests with participants and event operators.
8. Fan Support and Payments
When fan support features go live, contributions made to racers and teams are voluntary, non-refundable gifts. A contribution confers no ownership, equity, security, investment return, profit share, prize, or chance-based benefit of any kind. Supporting a racer is patronage of the sport — nothing more, and we frame it that way deliberately.
All payments are processed exclusively by Stripe, our third-party payment processor, under Stripe’s own terms. RaceAlly never holds, escrows, or transmits user funds itself. RaceAlly charges a 1% platform fee on fan support contributions, and Stripe’s processing fees also apply; both are disclosed before you complete a payment.
9. Rewards and Recognition
Any rewards, badges, leaderboards, or loyalty recognition on the Platform are based solely on engagement and participation — never on chance. Nothing on RaceAlly is a lottery, sweepstakes, raffle, wager, or other game of chance, and no Platform feature may be used to run one. We do not offer, and you may not solicit, anything of value contingent on the outcome of a race or any other uncertain event.
10. Prohibited Conduct
Use RaceAlly honestly and lawfully. You may not: impersonate any person, racer, team, or brand, or misrepresent an affiliation; post false or misleading profiles, results, deliverables, or proof-of-performance submissions; harass, threaten, or abuse anyone; post content that infringes intellectual property, violates privacy or publicity rights, or is unlawful; scrape, harvest, or bulk extract Platform data, or access the Platform by automated means without our written permission; probe, disrupt, or circumvent the Platform’s security or access controls; use the Platform for gambling, wagering, or chance-based promotions; or contact or solicit minors except as the Youth Racer & Guardian Policy allows. Violations may result in removal of content, suspension, or termination.
11. Content Moderation
RaceAlly is a provider of an interactive computer service. We may, but are not obligated to, monitor, review, remove, restrict, or refuse any user content at any time, in our sole discretion, including content we consider in good faith to be objectionable or inconsistent with our Community Guidelines. Our decision to remove — or not remove — content does not make us the publisher or speaker of any user content, and we assume no editorial obligation by moderating in good faith.
12. Copyright and DMCA
We respect intellectual property and respond to copyright complaints under the Digital Millennium Copyright Act. The procedure for submitting infringement notices and counter-notices, and our repeat-infringer policy, are set out in our DMCA Policy.
13. Unclaimed Profiles
To make the directory useful, RaceAlly may display unclaimed profiles built from factual, publicly available information — such as a racer’s name, car number, class, and published results — presented in directory style. An unclaimed profile is not an endorsement of RaceAlly by its subject and does not imply any affiliation. The subject of an unclaimed profile may claim it or request its removal at any time by emailing Chase@FarrisFactory.com, and we will honor the request promptly.
14. Disclaimers
The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that information on it (including unclaimed profiles and user content) is accurate, or that any sponsorship, contribution, or other outcome will materialize. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
15. Limitation of Liability
To the maximum extent permitted by law, GoGeno LLC and its members, officers, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to the Platform — even if advised of the possibility. Our total aggregate liability for all claims arising out of or relating to the Platform or these Terms is capped at the greater of (a) $100 or (b) the fees you paid to RaceAlly in the 12 months before the event giving rise to the claim. These limits apply regardless of the theory of liability and survive termination.
16. Indemnification
You agree to defend, indemnify, and hold harmless GoGeno LLC and its members, officers, and personnel from any claims, damages, liabilities, and reasonable costs (including attorneys’ fees) arising out of your content, your use of the Platform, your dealings with other users (including any sponsorship arrangement), or your violation of these Terms or applicable law.
17. Dispute Resolution: Arbitration and Class Waiver
Talk to us first. Before filing any claim, email Chase@FarrisFactory.com with a description of the dispute, and both sides will try in good faith to resolve it informally within 30 days. Most issues get fixed this way.
If informal resolution fails, you and GoGeno LLC agree that any dispute arising out of or relating to these Terms or the Platform will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Both parties waive the right to a jury trial and the right to participate in a class action, class arbitration, or other representative proceeding. The arbitrator may award relief only to the individual party and only as needed to resolve that party’s claim.
Small-claims carve-out: either party may bring an individual claim in small claims court instead of arbitrating, if it qualifies there.
Mass-arbitration batching: if 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the demands will be batched and resolved in staged groups under the AAA’s applicable mass-arbitration procedures, with each batch’s outcomes informing good-faith settlement discussions before the next batch proceeds.
Your opt-out right: you may opt out of this arbitration agreement entirely by emailing Chase@FarrisFactory.com within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. For any matter not subject to arbitration, you and GoGeno LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.
19. Changes to These Terms
We may update these Terms as the Platform evolves. For material changes, we will give notice — by email to account holders, a notice on the Platform, or both — at least 14 days before the changes take effect, and the “Effective” date above will be updated. Continued use of the Platform after a change takes effect constitutes acceptance. If you do not agree, stop using the Platform and close your account.
20. Termination
You may close your account at any time. We may suspend or terminate your access at any time for violation of these Terms, risk to other users (especially minors), legal requirement, or — during the private beta — at our discretion. Sections that by their nature should survive (including content licenses as limited in Section 5, disclaimers, liability limits, indemnification, and dispute resolution) survive termination.
